These Terms of Use ("Terms") govern your access to and use of the Capacitify platform, including our main website (capacitify.com) and our sub-platforms: The Campus (campus.capacitify.com), The Studio (studio.capacitify.com), and Mentorship (mentorship.capacitify.com) (collectively, the "Services"), operated by Digital Transformation Technologies Limited ("we," "us," "our").
Please read these Terms carefully. By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.
Eligibility: You must be at least 18 years old to use our Services. By registering, you represent and warrant that you are of legal age and have the right, authority, and capacity to enter into this agreement.
Account Accuracy: You agree to provide accurate, current, and complete information during the registration process.
Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately at hello@capacitify.com of any unauthorized use of your account.
Capacitify provides a social learning and venture-building ecosystem comprised of:
The Campus: A platform for online learning, including courses, classes, and community forums.
The Studio: A collaborative workspace where users can form teams and work on projects or "Ventures."
The Launchpad: A platform within the ecosystem where Ventures can be presented to seek support from the community.
Mentorship: A service connecting users for guidance and advice.
We reserve the right to modify, suspend, or discontinue any part of our Services at any time.
Plans: You agree to pay all applicable fees for your chosen membership plan (e.g., Explorer, Practitioner, Professional, Leader) as described on our pricing page.
Subscription Terms: Fees are billed in advance on a monthly or annual basis and are non-refundable, except as required by law or at our sole discretion.
Price Changes: We reserve the right to change our subscription fees at any time. We will provide you with reasonable notice of any fee changes.
Leader Plan Equity Stake: The "Leader" membership plan involves a success-based model where Capacitify retains a 30% equity stake in any venture launched using the team-building and development resources provided under this plan. Specific terms will be outlined in a separate Venture Agreement.
Your Content: You retain ownership of any content you create, post, or upload to our Services ("User Content"), such as project code, designs, venture ideas, and forum posts.
License to Us: By posting User Content, you grant Capacitify a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and display such Content to operate, promote, and improve our Services.
Venture IP: For Ventures built in The Studio, intellectual property ownership shall be governed by the specific agreements entered into by the participants (Idea Owner and Contributors) facilitated through the platform. Capacitify does not claim ownership of the Venture IP but requires clear terms among participants.
Our Content: All rights, title, and interest in and to the Services (excluding User Content) are and will remain the exclusive property of Capacitify and its licensors.
You agree not to, and will not assist, encourage, or enable others to:
Use the Services for any illegal purpose or in violation of any laws.
Post content that is hateful, harassing, defamatory, or otherwise objectionable.
Infringe upon any third party's intellectual property rights.
Attempt to gain unauthorized access to other users' accounts or our systems.
Misrepresent your identity, qualifications, or experience.
Use the Services to compete with Capacitify or to replicate its business model.
Not an Investment Platform: The Launchpad is a community support and crowdfunding platform. It is not a regulated investment or securities platform. Any funds contributed are considered support for a Venture's development and are not guaranteed financial investments.
No Financial Advice: Capacitify does not provide investment, financial, or legal advice. Any returns, such as revenue sharing, are not guaranteed.
Venture Creator Obligations: Venture creators are solely responsible for fulfilling any promises made to their supporters and for the legal and regulatory compliance of their fundraising activities.
Services "As Is": Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind.
No Guarantee of Outcomes: We do not guarantee that you will achieve any specific educational, career, or business outcome by using our Services.
Limitation of Liability: To the fullest extent permitted by law, Capacitify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
You can terminate your account at any time by contacting us. We may suspend or terminate your access to the Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
These Terms shall be governed by the laws of [Insert Jurisdiction, e.g., the Federal Republic of Nigeria]. Any dispute arising from these Terms shall be resolved through final and binding arbitration in Lagos, unless you opt out of this arbitration agreement within 30 days of account creation by emailing us at hello@capacitify.com.
